Hanmi Pharmaceutical Completes Acquisition of Aptose Biosciences

Hanmi Pharmaceutical has completed its acquisition of Canadian clinical-stage biotechnology company Aptose Biosceinces through its wholly owned subsidiary, HS North America Ltd., in a transaction valued at approximately US$32.3 Million (C$45.3 Million). Under the arrangement, shareholders received C$2.41 per share in cash for all outstanding shares not already held by Hanmi or its affiliates.

The acquisition marks Hanmi's first direct expansion into the North American market and strengthens its oncology pipeline by securing full ownership of tuspetinib, Aptose's lead precision medicine candidate currently being evaluated in the TUSCANY Phase 1/2 clinical trial for acute myeloid leukemia (AML). Following shareholder, court and Korean regulatory approvals, Aptose will cease its public reporting obligations in Canada and the United States, with its shares expected to be delisted from the Toronto Stock Exchange.
