Given that breach of contract remains the leading source of commercial litigation, clients are seeking our input earlier to ensure their agreements adequately anticipate commercial risks and minimise the potential for future disputes.We have also adopted a multidisciplinary approach. With experienced lawyers across corporate and commercial law, mergers and acquisitions, banking and finance, tax, capital markets, dispute resolution, energy, infrastructure, technology and employment, we are able to assemble tailored teams for complex matters. Even where parties have strong legal claims, prolonged proceedings increase litigation costs, create commercial uncertainty and undermine confidence in the justice system. In many cases, justice delayed effectively becomes justice denied.Addressing this challenge requires more than procedural amendments.  It demands stricter case management by the courts, greater investment in judicial infrastructure, wider adoption of digital technology, an increase in the number of judges and judicial support staff, and stronger sanctions against parties who deploy dilatory tactics to frustrate proceedings. Greater specialisation through dedicated commercial courts and specialist judges would also improve the speed and quality of decision-making in complex disputes.Reducing delays would have benefits far beyond the legal profession. The defining theme of the past 12 months has been the surge in IOC divestments, shifting assets into the hands of local players who are hungry for capital.However, the era of 'hope-based lending' is over. Financiers are wary of the usual hurdles, crude theft, FX volatility, and regulatory red tape, so they’ve tightened the purse strings. Today’s money isn't interested in your projections; it wants to see proven reserves and rock-solid execution. If your business plan is backed by engineering and cold, hard math rather than pure optimism, you’ll find funding. Otherwise, you might find the fundraising process to be a rather lonely experience.What economic, commercial or geopolitical factors are currently driving activity in this sector?If you want to know what’s driving activity right now, it boils down to two things: a regulatory push and sheer survival.On the regulatory side, the full rollout of the Petroleum Industry Act (PIA) and recent presidential executive orders have finally given investors some fiscal clarity. People actually know what the rules are now, which is a massive relief. Combine that with the ongoing push for domestic gas utilization, like the Ajaokuta–Kaduna–Kano (AKK) pipeline and NLNG Train 7, and you see a lot of capital moving toward gas-to-power and local refining.On the commercial side, it's driven by local players stepping up to prove they can run the onshore assets the IOCs left behind. But let’s be honest: macro factors like FX volatility and inflation are also driving the scramble. With the naira on a rollercoaster, holding an asset that earns hard US dollars isn't just a business strategy anymore, it’s the corporate equivalent of grabbing a life jacket.Have there been any significant legislative, regulatory or policy developments that businesses operating in this sector should be paying close attention to?Two big shifts stand out from the past year. First, we got the Upstream Petroleum Commercial Regulations. In plain terms, the regulator is no longer just checking your engineering math; they are actively auditing your business plan. If your Field Development Plan (FDP) doesn’t hit strict profitability and project-gate metrics, it’s not getting approved.Second, the brand-new Decommissioning and Abandonment Regulations have completely rewritten how we handle old assets. The rules around setting up and funding escrow accounts for eventual cleanup have tightened significantly.But the real kicker for operators is the aggressive enforcement of the PIA’s 'drill or drop' provisions. The government has made it very clear: if you sit on an asset without meeting your minimum work obligations, they will take it back. It’s a classic case of 'use it or lose it', which is brilliant for productivity, but definitely keeps compliance lawyers awake at night.What are the biggest trends your team is currently observing, and how are they changing the way clients approach legal and commercial decision-making?The biggest trend we are observing is what I like to call 'corporate maturity.' Local operators are no longer just focused on getting their hands on an asset; they are obsessing over operational technologyBecause of the margins squeezed by security issues, we are seeing a huge rush toward digital oilfield management. Companies are deploying IoT sensors for real-time well monitoring and automated pipeline surveillance systems to curb vandalism.The other massive trend is the shift from oil to commercial gas. Everyone is trying to position themselves along major infrastructure corridors like the AKK pipeline.For clients making decisions, this has completely changed the playbook. They used to ask us, 'How do we legally secure this license?' Now, they are asking, 'How do we structure our joint ventures to absorb high technology and meet strict ESG metrics?' It’s forced a shift from purely legal engineering to deeply integrated commercial and technical risk-planning.How does your jurisdiction compare with other African or international markets in this area? Are there any jurisdictions you believe are setting the benchmark?Compared to the rest of the continent, Nigeria is the veteran who has seen it all, while everyone else is still in the early frontier phase.Investors love Guyana or Namibia right now because they have clean regulatory slates and massive new deepwater finds. Closer to home, a mature peer like Angola sets a strong benchmark (they’ve kept production steady by offering highly predictable, investor-friendly fiscal incentives).Nigeria used to lose ground because of our regulatory red tape, but the PIA rollouts and the recent easing of cash-pooling restrictions on export proceeds have put us back in the game. We might not be the easiest jurisdiction to navigate, but we have unmatched local talent, deep infrastructure, and massive proven reserves. Other markets look smoother on paper, but if you can successfully structure and run a project in Nigeria, you can survive anywhere. It’s the ultimate testing ground.What legal, regulatory or commercial issues do clients most frequently encounter, and where do you think businesses are making avoidable mistakes?The most common mistake right now is treating Host Community Development Trusts (HCDTs) as a simple compliance box to check. Operators rush the paperwork, fund the mandatory 3% of OPEX, and move on. But without solid internal governance, these trusts quickly gridlock. We are seeing millions of dollars sit completely idle while community factions fight in court over who administers the cash, all while production gets shut down by local protests. You paid the premium, but you still get the headache.The second blunder is 'gun-jumping' during asset transfers. With the current wave of divestments, buyers get overly excited and start integrating operations before securing final, written approval from the NUPRC and FCCPC. The regulators are clamping down hard on this.My advice is simple: don’t treat community governance like a side-project, and don’t start driving the car before the regulator hands you the keys. It’s always cheaper to structure it right the first time than to fund a legal rescue mission laterHow has your firm's practice evolved to respond to these developments, and what types of mandates have become increasingly prominent?At Fortress, we’ve had to completely shift gears from being purely reactive lawyers to becoming strategic risk managers. With the PIA rollout and all these major asset handovers, our oil and gas team isn't just filing paperwork anymore, we are deep in the trenches structuring complex joint ventures and pushing clearances through the NUPRC.Because of how tight the financial market is right now, two specific areas have kept us incredibly busy. First, our insolvency and receivership practice has surged. When FX volatility throws a project off track, clients call us in to handle the asset recovery and corporate restructuring rescue missions.Second, our dispute resolution team is running at full speed. In this environment, nobody can afford a court case that drags on for five years while an oil field sits idle. We’ve seen a massive spike in fast-tracked commercial arbitrations to resolve operator and partner disputes quickly. For us, it’s no longer just about giving legal advice; it’s about keeping the wheels turning so our clients can actually stay in business.What major developments do you anticipate over the next two to five years, and how should businesses begin preparing for them?The next two to five years belong to regional gas commercialization, fuelled by the simultaneous arrival of the AKK pipeline and Train 7. We are moving at hyper-speed from an oil obsession to a gas reality.My advice to traditional crude producers is simple: stop treating gas as a byproduct you flare, and start treating it as the asset that saves your balance sheet. The era of pure-play crude is shrinking. If you want to remain bankable, you need to transition your corporate structures now to handle complex Gas Sales Agreements and strict carbon-tracking metrics. If you aren't gas-ready and carbon-conscious very soon, you will find yourself holding a very expensive, very obsolete asset.If you could introduce one legal, regulatory or policy reform tomorrow to improve this sector, what would it be and why?If I could introduce one reform tomorrow, it would be the absolute unification of the asset-clearance process between the NUPRC and the FCCPC into a single, automated digital window. Creating a synchronized track with a strict 30-day clock would instantly cut through the bureaucratic red tape, stop stalling multi-million-dollar transactions, and immediately unlock idle production.What is one issue in this practice area that deserves far more attention than it is currently receiving?One massive issue flying completely under the radar is the operational gridlock caused by overlapping regulatory jurisdictions in decommissioning and abandonment (D&A). While everyone is hyper-focused on who is buying which oil field, nobody is paying enough attention to who cleans up the legacy environmental liabilities left behind. Under the PIA, the NUPRC has strict rules regarding D&A fund contributions, but the National Environmental Standards and Regulations Enforcement Agency (NESREA) and state-level environmental ministries have completely different, often conflicting compliance metrics.As more mature assets transition to local players, this regulatory mismatch is going to trigger serious contractual and environmental disputes.
