Hena Holdings Launches US$290.7 Million Mandatory Offer to Acquire Integrated Diagnostics Holdings

Hena Holdings Ltd has launched a mandatory final cash offer to acquir all remaining shares in Integrated Diagnostics Holdings (IDH) at US$0.50 per share, valuing the company at approximately US$290.7 million.
The offer was triggered after Hena increased its shareholding to 49.61% through the acquisition of a 21.67% stake from Actis IDH Limited. IDH's independent directors have unanimously recommended that shareholders reject the offer, arguiung that it undervalues the business.
Henas has also indicated that it intends to delist IDH from the London Stock Exchange if it secures at least 75% ownership, a move that could significantly reduce liquidity for remaining shareholders. The transaction underscores continued consolidation activity in the healthcare diagnostics sector.
