Refresco to Acquire SunOpta in Strategic Beverage Industry Transaction

Refresco, a global beverage solutions provider, has entered into a definitive agreement to acquire SunOpta Inc. a North American supply chain solutions provider, for US$6.50 per share in cash. The transaction has been unanimously approved by both companies' boards and is expected to close in the second quarter of 2026, subject to SunOpta shareholder approval, court and regulatory approvals, and other customary closing conditions.

Upon completion, SunOpta will become a wholly owned subsidiary of Refresco, and its shares will cease to be publicly traded. The acquisition will broaden Refresco's capabilities and strengthen its position across North America's beverage and supply chain landscape. The transaction is backed up by KKR, which holds a majority interest in Refresco, and brings together two established players with complementary capabilities across beverage production and supply chain solutions.
