Thesis Gold & Silver Inc. Closes US$42.02 Million (C$58.4 Million) Private Placement by Anglogold Ashanti

Thesis Gold & Silver Inc. closed its private placement offerings of hard-dollar common shares and charity flow-through shares on August 27, 2026, for aggregate gross proceeds of US$42.02 (C$58.4 Million). The offering consisted of 8,342,257 common shares at US$2.46 (C$3.4118) per share for gross proceeds of US$20,479,770.38 (C$28,462,112), 2,020,202 charity flow-through shares at US$3.56 (C$4.95) per share for gross proceeds of US$7,185,043.61 (C$10,000,000), and 4,282,655 charity flow-through shares at US$3.36 (C$4.67) per share for gross proceeds of US$14,390,663 (C$19,999,999). Following the offering, AngloGold Ashanti plc increased its strategic investment in the company from 5% to 9.7% of issued and outstanding common shares. The company and Anglogold Ashanti entered into an amended and restated investor rights agreement, superseding the agreement dated February 26,2026, providing AngloGold Ashanti with additional investor rights customary for a strategic investment of this nature.
